Primarynewssource.org, Inc. owns and controls its subscription news website by the same name. It also controls content on certain related social media pages. It is referred to below as Primary News Source, primarynewssource.org, the Sites, Services, us, our, and we.    

Your use of Primary News Source is subject to the terms, conditions, and disclaimers set forth below; to our Online Privacy Policy; and to all applicable laws and regulations. In addition, Primary News Source reserves the right to terminate access to the Sites for any reason, and to take any other actions that Primary News Source believes to be in the interest of the company and some or all of its users and customers. Primary News Source reserves the right to modify these disclaimers, terms, and conditions of access, without advance notice.

Please note that our Sites are under constant development. This Agreement may therefore be modified and updated on an ongoing basis. Please check back to this page regularly.

Access

Subscribers can access all features of the site. Subscribers enrolled in the automatic subscription renewal program can opt out or cancel their subscription at any time by contacting our Customer Care team at subscriptions@primarynewssource.org.  For canceled subscriptions, Primary News Source will issue a refund on the remaining subscription. If you cancel a subscription with an annual commitment early, there will be a cancellation fee equal to the monthly annual fee discount multiplied by the number of months the subscription was active during the contract period prior to cancellation.   

The Sites are provided solely for your personal or business use. Access to the Site does not create any legal relationship between Primary News Source and its subscribers. 

There are no restrictions on the copying, publication, distribution, or other use of documents in the public domain that are hosted on our server. For other documents, you should only use the documents in accordance with appropriate copyright and other applicable laws.

Account Credentials and Security

The subscription is for the sole use of the named subscriber. You agree not to share the subscription or your Credentials with any other person without our consent. You are responsible for maintaining the confidentiality of your Credentials, and you are solely responsible for all activities that occur during use of your account. You agree to immediately change your password and notify us if you suspect or become aware of any unauthorized use of your Credentials or any other breach of security related to the Services. We reserve the right to require you to alter your Credentials if we believe that they are no longer secure. You agree that we will not be liable for any loss or damage arising from your failure to safeguard your Credentials.

Intellectual Property

Primary News Source and all other text and images contained on the Sites and incorporated into its products are protected by applicable trademark and copyright law and other applicable law. All copyrights, trademarks, intellectual property not the property of Primary News Source that are posted, used or referred to in Primary News Source or its Sites are the property of their respective owners. However, documents created by the United States Federal Government are in the public domain.  Nothing contained in the Sites or other products shall be construed as granting any license or other rights to any copyright, trademark, patent or other property of Primary News Source or any third party, whether by implication, laches, estoppel or explicit grant. Any unauthorized use of materials available through the Sites may violate the law.  

If you are a copyright owner and believe infringing material is improperly present on any of the Sites, please refer to the procedures outlined below in the section titled “The Primary News Source Copyright Infringement Claim Policy.”

Copyright Infringement Claim Policy

Primary News Source respects the intellectual property of others. If you believe that your work has been copied and posted on or through the Sites in a way that may constitute copyright infringement or other violation of your legal rights, send Primary News Source a notification of claimed infringement or other violation with all of the following information:

(a) identification by title and purported source the copyrighted works claimed to have been infringed;

(b) information reasonably sufficient to permit us to locate the material on the Sites (providing the URL(s) of the claimed infringing material satisfies this requirement);

(c) your contact information;

(d) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law, along with a brief summary of the basis for your belief;

(e) a statement by you, made under penalty of perjury, that the above information in your notification is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and

(f) your physical or electronic signature.

This information should be sent by email to info@primarynewssource.org or mailed to Primary News Source at the following address: 4820 W. 77th St., Suite 110, Edina, Minnesota, 55435. 

Upon receipt of a Notification of Copyright Infringement from a copyright owner that contains the required information described in (a) through (f) above, Primary News Source will take appropriate actions which may include the removal of the allegedly infringing material from our server.

Limitation of Liability and Use

Primary News Source works to ensure the accuracy of the information it owns that it provides through its products and services, including through the Sites. If you believe any said information is not accurate, please contact us at info@primarynewssource.org

Primary News Source makes no representations regarding the accuracy of information accessed through our Sites that is owned by other persons. 

You expressly agree that the use of the products and services, including the sites, is at your sole risk and discretion. Such products and services are provided on an “as is” basis and Primary News Source makes no warranties, expressed or implied, and disclaims any implied warranties of merchantability, fitness for a particular purpose and non-infringement. Primary News Source disclaims any warranty that the service will be uninterrupted, secure or error free. No advice, opinion or other information obtained through the sites shall create any warranty not expressly stated herein.

Except as otherwise stated, Primary News Source makes no warranty or representation regarding the confidentiality of any communication or information transmitted on the Sites or any website linked to the Sites. You agree that neither Primary News Source, nor any other providers of products or services related to the Sites, are legally responsible for the confidentiality of any information, and neither Primary News Source nor any other providers of products or services related to the Sites are legally responsible for any damages that may arise from disclosure of such information. Primary News Source and its directors, officers, employees, consultants, agents and other representatives shall not be liable under any circumstances for any direct, indirect, consequential, special, exemplary, punitive or other damages, including lost profits or costs or attorney’s fees, under any legal theory including but not limited to breach of contract, breach of warranty, negligence, or strict liability, regardless of whether Primary News Source was informed of the possibility of such damages.

In states that do not allow the exclusion or limitation of certain categories of damages, Primary News Source liability, and that of its subsidiaries, affiliates or parents and their respective officers, directors, employees, agents, representatives, business partners, information providers and licensors and their respective heirs and assigns is limited to the fullest extent allowed by such states’ laws.

Primary News Source assumes no responsibility or liability arising from the content of the Sites nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, disturbing content, danger or inaccuracy contained in any information within the Sites or accessed through the Sites. Primary News Source also does not warrant that the functions or informational materials contained in or accessed or downloaded through our Sites are free of computer viruses or other harmful components. In addition, we will not be liable for any failure to update any information contained on the site.

You agree to comply with all applicable laws and rules regarding your online conduct.

Indemnification

You agree to indemnify, defend and hold Primary News Source, its affiliates, licensors, suppliers, advertisers and sponsors, its directors, officers, employees, consultants, agents and other representatives, harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees) and other expenses that arise directly or indirectly out of or from (a) your breach of this agreement, including any violation of these Terms & Conditions and any laws regarding intellectual property; and (b) your activities in connection with the Sites.

Special Agreement on Fee-shifting and Choice of Law

If you attempt to bring any legal action against Primary News Source based in any way on its products or services, you agree that, in the event you do not prevail or Primary News Source does prevail, you will reimburse Primary News Source for any costs and attorneys fees associated with its defense of the action.

The use of the Sites and any claim or dispute relating to the Sites shall be governed by the laws of the the State of Minnesota, without regard to its conflicts of law principles. Exclusive venue for any claim shall be in the state and federal courts located in the County of Hennepin, Minnesota.

Severability

If any provision or portion of these Terms & Conditions is held in whole or in part to be unenforceable for any reason, the remainder of that provision and of the entire agreement will be severable and will remain in effect, to the fullest degree consistent with the intent of this document.
